Management risk

Running the company creates risks beyond professional advice.

Directors and managers make decisions about people, finances, contracts, compliance and business strategy. Management Liability can combine several cover sections addressing selected allegations arising from those responsibilities.

  • Claims against directors and officers
  • Selected claims against the corporate entity
  • Employment-practices allegations
  • Regulatory investigations and statutory liability
  • Employee or third-party crime, where included
  • Legal and investigation costs for covered matters

Selected claims involving dismissal, discrimination, harassment and other workplace allegations.

Important boundaries

It does not replace the rest of the insurance program.

Management Liability addresses selected management and corporate exposures. Other policies remain important for different types of loss.

  • Professional-service allegations generally belong under Professional Indemnity
  • Cyber incidents and data restoration may require dedicated cyber cover
  • Third-party injury or property damage generally sits with liability cover
  • Employee injury is generally addressed through workers compensation arrangements
  • Deliberate dishonest conduct and personal profit may be excluded
  • Known circumstances and prior claims must be disclosed
  • Some fines and penalties cannot legally be insured

Management Liability, explained clearly.

Size alone does not remove the exposure. Businesses with directors, employees, contractors, statutory obligations or financial controls may face management-related claims and investigations.

Professional Indemnity focuses on professional advice and services. Management Liability addresses selected allegations arising from running and governing the company, including employment and regulatory matters.

Employment Practices Liability sections may respond to selected allegations such as unfair dismissal, discrimination or harassment, subject to the wording, jurisdiction, excess and exclusions.

Cover varies, and some penalties cannot legally be insured. A policy may provide selected investigation and defence costs even where a penalty itself is not covered.

Policies generally do not cover matters already known before inception. Disclose threatened claims, complaints, investigations, employment disputes and other circumstances fully when seeking terms.
